The Athlete's Foot In My Shoes Contest Official Rules

THE FOLLOWING CONTEST IS OFFERED IN THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA ("D.C."). DO NOT ENTER THIS CONTEST IF YOU ARE NOT A LEGAL RESIDENT OF AND CURRENTLY RESIDING IN ONE OF THE 50 UNITED STATES OR D.C. THIS CONTEST WILL BE CONSTRUED AND EVALUATED ACCORDING TO U.S. LAW.

NO PURCHASE NECESSARY. PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. CONTEST IS SUBJECT TO ALL FEDERAL, STATE, LOCAL AND MUNICIPAL LAWS AND REGULATIONS. VOID WHERE PROHIBITED BY LAW.

HOW TO ENTER THE CONTEST:

Entry into the Contest begins at 12:01:00 p.m. Eastern Time ("ET") on 7/25/07 and ends at 11:59:59 p.m. ET on 9/15/07 ("Contest Period").

ELIGIBILITY:

Open only to individuals who are legal residents of the 50 United States and the District of Columbia between the ages of 13-18 years at the time of entry. The following individuals are not eligible: employees, contractors, directors and officers of The Athlete's Foot LLC, its franchisees, and each of their respective parent, subsidiaries and distributors, web design, advertising, public relations, fulfillment, judging and Contest agencies involved in the administration, development, fulfillment and execution of this Contest (collectively "Contest Parties"), and the immediate family members (spouse, parent, child, sibling and spouse or "step" of each) and those living in the same households of each.

TO ENTER:

Submit an essay or video as outlined herein during the Contest Period ("Submission"). Refer to "In My Shoes Contest Entry Description" below for more details regarding the requirements for your essay or your video.

Essay Entry:
You may enter an essay: (1) in-store, (2) via mail or (3) online. To enter your essay in-store or via mail, pick up an entry form and valid store code found at participating TAF stores. Complete your written entry as outlined herein and drop it off, with a fully completed entry form, with a store manager or sales associate, mail it to your local participating TAF store, or send via mail In My Shoes Contest, The Athlete's Foot, 1412 Oakbrook Dr. Suite 100, Norcross, GA 30093. All entries must be dropped off by 9/15/07, or if mailed, postmarked by 9/15/07 and received by 9/20/07.

You may also submit your essay online at www.tafinmyshoes.com ("Contest Web Site") by submitting all information requested. If you do not have a valid store code, you can find one via the website. Each online entry must have a valid email address.

Via Video:
To enter your video in the Contest, log on to the Contest Web Site between 12:01:00 p.m. ET on 7/25/07 and 11:59:59 p.m. ET on 9/15/07, click on the "Enter Here" link and follow the directions to submit your video to the YouTube website. In order to submit a Video to the YouTube website, you will have to become a member of YouTube and abide by its posted terms and conditions. YouTube is not a sponsor of this Contest and does not endorse this Contest in any manner.

After you have uploaded your final, edited video on YouTube, you must return to the Contest Web Site to register your Submission. To register, click on the "Enter Here" link and enter the requested information. You will be asked to provide your contact information, the name of your Submission and the unique YouTube URL. Finish by clicking the "Submit Entry" button.

If you do not complete this registration step, your Submission will not be entered into the Contest or eligible for a prize even though your Submission may be posted on the YouTube. Sponsor is not responsible for Entrant's failure to timely complete each step of the registration process. Submissions that do not include all required information and adhere to the foregoing and following requirements will be considered void and will not be considered in the judging of this Contest.

CONDITIONS OF ENTRY:

Essay Submissions must be 100-250 words. Videos must be between thirty (30) seconds to one (1) minute in length, with audio (if any) in English, and must be in .avi, .mov, or .mpg format. If your video entry exceeds one (1) minute in length, note that only the first minute will be judged. You may use any TAF image or brand logos from the promotion site's "TAF Toolkit" in your video; however, the inclusion of such images/logos will not, alone, cause an entry to be judged more favorably (See judging criteria below). Submissions may not include any intellectual property of third parties, except as provided herein, including copyrighted material (including but not limited to music).

Limit one (1) Submission per person/ email address, regardless of type of entry or method of entry. Although subsequent attempts to enter may be received, only the first Submission received from a particular email address will count and subsequent attempts will be disqualified. Entries must be submitted by an individual, eligible entrant only; no group entries allowed. Videos may include more than one person, but the account holder of the YouTube account from which the video was entered will be considered the owner of the video and the Contest entrant. Entries become property of Sponsor and will not be returned.

IN MY SHOES CONTEST DESCRIPTION:

On the court, the field, the course, the mat, the track, the ice... every day, you play to win. Tell us how.

Tell us the story of how you plan to aspire, achieve, and excel in your shoes. Maybe it's a story about how you plan to make the varsity team. Or the lengths you'd go to beat the school record in the 100 meter dash. Or maybe it's all about your goal to make the all-star team.

You write it. OR Make a video out of it. You direct and shoot it. You have total creative control.

Entries should:

  • Begin with the phrase "In My Shoes" and the rest of the content is up to you.
  • Express a concrete, realistic, measurable, age-appropriate and performance- oriented goal.
  • Demonstrate thought, enthusiasm and ambition.
  • Be of high quality. Written entries should be articulate and grammatically sound (minor issues with spelling and grammar can be overlooked, but preference will be given to entries that have solid structure and vocabulary.) Video entries should be visually compelling and of sound production quality.
  • Reinforce TAF brand messages of performance and empowerment.

REQUIREMENTS:

Once you complete and submit your video or written entry, your Submission is final and may not be modified or edited. The person named on the Contest Registration form for the Submission must match and that person will be deemed the entrant ("Entrant"). In the event of dispute regarding the identity of an Entrant, dispute will be resolved in favor of the individual who is the "authorized e-mail account holder" of the submission on Contest Web Site. "Authorized email account holder" is defined as the natural person assigned an e-mail address by an Internet access provider, online service provider, or other organization (i.e., business, education institution) responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If any group of individuals elects to collaborate on a Submission, they are required to designate one (1) representative to enter the Contest and accept the prize on behalf of the group. Neither Sponsor nor any of the Contest Parties are liable for any disputes between collaborators related to a Submission.

Please note the following: Video submissions may not contain or refer to any brands other than TAF, such as other company's names or logos. This rule also applies to doing imitations of famous people, characters from movies or TV shows. Any elements in your Submission, including without limitation music, audio, speech/voiceovers, stills, video, supers, or other audiovisual materials used must be 1) entirely original, created and performed by you, 2) be in the public domain, 3) or be downloaded from the TAF Toolkit section of the Web Site. Approved music, audio sound effects, graphics and product shots ("Cleared Elements") are provided by Sponsor for use in your Submission and may not be altered. By downloading and/or use of any of these Cleared Elements you agree to the terms of use for these elements provided on the TAF Toolkit page. Use of any elements, including without limitation music, audio, speech/voiceovers, video, stills, visuals, or other materials that are not original, in the public domain, or downloaded from the Web Site may result in disqualification of Submission, in Sponsor's sole discretion. Entries which contain obscenity, lewd behavior, dangerous, violent, or questionable visual images will be disqualified.

All Submissions will be reviewed before being judged; however, judging of a Submission does not mean the Submission has been deemed to be in compliance with these rules. Submissions that do not comply with the YouTube Terms of Use or these Official Rules or that otherwise contain prohibited, or inappropriate content as determined by the Sponsor, in its sole discretion, will be disqualified and will not be considered for a prize.

BY SUBMITTING AN ENTRY, ENTRANT (AND HIS/HER PARENT/LEGAL GUARDIAN) ACKNOWLEDGES THAT HIS/HER SUBMISSION MAY BE POSTED ON SPONSOR'S WEBSITE, IN SPONSOR'S DISCRETION. Submission of an Submissoin grants Sponsor and its agents an unlimited, worldwide, perpetual, license and right to publish, use, publicly perform the Submission in any way, in any and all media, without limitation, and without consideration to the entrant.

By submitting an Submission, you agree that your submission is gratuitous and made without restriction, and will not place Sponsor under any obligation, that Sponsor is free to disclose or otherwise disclose the ideas contained in the Submission on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you.

SELECTION OF WINNERS:

All Submissions will be judged by a pre-selected panel of judges inclusive of the Sponsor, TAF Franchisee representatives and others at the sole discretion of the Sponsor. Entries will be judged to determine Local, Regional and National winners. The eighty (80) Local winners will be selected corresponding to the store code for the participating TAF Franchisees which was designated in your entry, with one (1) winner per participating TAF Franchisee. Each of the Local winners will be allocated into groups of ten (10) based upon the region of its corresponding participating TAF Franchisee and one (1) Regional winner will be selected from among each of the ten (10) regions. The one (1) National Grand Prize winner will be selected from among the 80 local winners. Judging shall take place on or about September 20, 2007. Judging shall be based upon the following judging criteria: (#1) (25%) the extent to which you have expressed a concrete, realistic, measurable, age-appropriate and performance-oriented goal; (#2) (25%) the extent to which you have demonstrated thought, enthusiasm and ambition; (#3) (25%) the overall quality of your entry in terms of writing quality or video production (as applicable); and (#4) (25%); the extent to which your entry reinforces TAF brand messages of performance and empowerment. In the event of a tie, tie breaker will be based upon the highest score in the first judging criteria, continuing thereafter (#1-#4) to each judging criteria in order, as needed, to break the tie. Decisions of the judges are final and binding.

All winners will be notified via email at the email address provided with their submission on or around September 23, 2007. Winners (and their parent/legal guardian) will be required to sign and return an affidavit of eligibility, a liability/publicity release and a consent to use entry form prior to verification and award of prize. Prize will be awarded to winner's parent/legal guardian who must sign and return all required documentation.

All winners are subject to verification, including without limitation, verification of eligibility, compliance with these Official Rules and completion of all required documents. Entrants agree that the Sponsor and Contest Parties have the sole right to decide all matters and disputes arising from this Contest and that all decisions of Sponsor and Contest Parties are final and binding.

PRIZES:

ONE (1) NATIONAL GRAND PRIZE: a one-on-one pro athlete coaching session from an athlete designated by Sponsor in winner's goal statement identified in its Submission TEN (10) REGIONAL RUNNER-UP PRIZES: Receive an award from a pro athlete selected by Sponsor at a memorabilia signing in a participating TAF store. Eighty (80) LOCAL RUNNER-UP PRIZES: a $75 gift card to be used toward your choice of any pair of shoes carried in your local participating TAF. No substitution of prize is offered, no transfer of prize to a third party is permitted and non-cash prize may not be redeemed for cash value. Winner is responsible for retrieving athletic shoes directly from his/her local authorized and participating TAF store. Sponsor does not make any representations or warranties including without limitation, implied warranties of merchantable quality and fitness of any awarded product or prize. The National and Regional Winners will be given approximate dates and location of prize events. Sponsor will provide best effort to accommodate the winner's desire to meet their athlete at a time and place that is convenient for the winner. However, final prize dates and locations are determined at the sole discretion of the Sponsor.

GENERAL CONDITIONS ONLINE PARTICIPANTS:

The Sponsor and Contest Parties are not responsible for printing or typographical errors in any Contest material or for any computer, software, Internet Web Site or electronic defect, error or failure relative to any aspect of the Contest regardless of reason. Further, the Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be (a) tampering or attempting to tamper with the entry process or the operation of the Contest or any Sponsor; (b) violating the Official Rules; (c) violating the YouTube Terms of Service, or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. If prize notification or any prize is returned as undeliverable, potential winner will be disqualified and prize will be forfeited.

No liability or responsibility is assumed by the Sponsor resulting from any user's participation in or attempt to participate in the Contest or ability or inability to upload or download any information in connection with participating in the Contest. No responsibility or liability is assumed by the Sponsor for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Contest: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any e-mail transmissions to be sent or received; lost, late, delayed or intercepted e-mail transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the Internet or the Web Site; unauthorized human or non-human intervention of the operation of the Contest, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Contest, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Contest. Sponsor and Contest Parties are not responsible for any typographical errors in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Web Site. Use of Web Site is at user's own risk. Sponsor and the Contest Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user's or any other person's computer equipment resulting from participation in the Contest, use of the Web Site or YouTube or the download of any information from the Web Site or YouTube.

General:

By entering the Contest, entrants (and their parent/legal guardian) agree to release NexCen Brands, Inc., NexCen Franchise Management, Inc. and The Athlete's Foot LLC and Marketing Fund, LLC, and each of their respective parent and affiliate companies, subsidiaries, franchisees, sales representatives, distributors and advertising and promotion agencies, as well as the officers, directors, employees, representatives and agents of each of the foregoing (including, without limitation, NexCen Brands, Inc., NexCen Franchise Management, Inc. and TAF and Marketing Fund, LLC from any and all liability, loss, damage to person (including, without limitation, death) or property or injuries of any kind sustained in connection with their participation in the Contest, or from their receipt, possession, acceptance and/or use or misuse of any prize, or for any typographical or other error in the printing, offering or announcement of any prize or use of any Submission by Sponsor or Contest Parties. Except where legally prohibited, winner (and/his her parent/legal guardian) grants permission for Sponsor and those acting under its authority to use his/her name, city, photograph and/or likeness, and Submission for advertising and/or publicity purposes, without additional compensation. Taxes and any other fees or costs associated with prize are solely the responsibility of the winner. TAF and Marketing Fund, LLC and its agents are not responsible for printing or typographical errors in any Contest material or for any computer, software, Internet Web Site or electronic defect, error or failure relative to any aspect of the Contest regardless of reason.

If, for any reason, the Contest cannot be completed as planned due to tampering, unauthorized intervention, fraud, or other failures which, in the sole opinion of Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend this Contest and will post notice thereof on www.tafinmyshoes.com.

By entering, you agree that the laws of the State of Georgia govern this Contest, without regard to conflicts of laws principles and any dispute regarding the Contest shall be resolved only in a state or federal court located in Atlanta, GA. Contest is subject to all applicable federal, state and local laws.
